Supplement to the Certification of Ballot Votes and Amended and Restated Certification of Proxy Count

As PDPOA Board Chair and Vice Chair, we were recently made aware of a mistake in using calendar vs business days for the cut-off date for submittal of proxy cards. The Association consistently communicated a cut-off date of September 30, which is 15 calendar days before the meeting and not business days. All submissions were handled appropriately and according to the instructions provided to the community.

As soon as we were made aware, we contacted legal counsel who suggested we recertify the proxies using the business cut-off date and recount the ballots using the correct method. This has resulted in no change in the final outcome, but for complete transparency, the revised results are linked here: Click here for the link for the revised Supplement to the Certification.

Since the results did not change and in an effort to include everyone’s vote, the Association will be using the initial results.

We apologize for this unintended error. We will use this opportunity as well as feedback from the community to propose changes to proxy submission and voting methods for 2023; most likely the adoption of an electronic process facilitated by a third party.

We will engage a group of owners to help us review options and make a recommendation to the Board in the new year.
